Astra Asigurari, the leader of the Romanian insurance market, hereby announces the approval of the amendment to the memorandum of association of S.C. Asigurare Reasigurare ASTRA S.A, following the change of the company’s shareholding structure. The change was approved by the Insurance Supervisory Commission.

The shareholding structure approved in the Extraordinary General Assembly of Shareholders from September 7th 2011 is as follows:

-S.C. NOVA GROUP INVESTMENTS ROMANIA SA – holding a number of 52,657,615 shares with a RON 2.66 nominal value each and a total value of RON 140,069,255.90, accounting for 72.6830% of the share capital;

S.C. EPSILON ESTATE PROVIDER S.R.L. – holding a number of 19,572,606 shares with a RON 2.66 nominal value each and a total value of RON 52,063,131.96, accounting for 27.0160% of the share capital;

-individual and legal entities acting as shareholders – holding a number of 218,100 shares with a RON 2.66 nominal value each and a total value of RON 580,146, accounting for 0.3010% of the share capital.

S.C. EPSILON ESTATE PROVIDER S.R.L., a company of the NOVA Group, expressed its intent to purchase the block of shares held by UNIQA INT BETEILIGUNGS – VERWALTUNGS, accounting for 27.0160% of the share capital of S.C. ASIGURARE REASIGURARE ASTRA S.A. The ISC approved this intent by Decision no. 422/21.06.2011 and the sale-purchase of the block of share held by UNIQA INT BETEILIGUNGS – VERWALTUNGS accounting for 27.0160% to S.C. EPSILON ESTATE PROVIDER S.R.L. took place on 22.06.2011 through specific capital market instruments and in accordance with the regulations governing this market. Thus, S.C. EPSILON ESTATE PROVIDER S.R.L. is registered at the Central Depository as shareholder of S.C. ASIGURARE REASIGURARE ASTRA S.A. starting from 22.06.2011. As a result of the transaction, S.C. EPSILON ESTATE PROVIDER S.R.L. requested the approval of the Insurance Supervisory Commission for its position as significant shareholder of ASTRA. The ISC approved the position of EPSILON ESTATE PROVIDER S.R.L. as significant shareholder of S.C. ASIGURARE REASIGURARE ASTRA S.A. by decision no. 581/29.08.2011

In 2010, the claims paid by Astra Asigurari experienced a 61% increase compared to 2009, from RON 328,167,178 to RON 526,883,477.
